Terms of Service

1. Services

Bitrupt Ltd (“Bitrupt”) provides software development, design, QA, and consulting services under individually negotiated statements of work (“SOW”). These Terms govern your use of our website and, where no separate contract exists, our services.

2. Intellectual Property

Unless otherwise stated in a signed contract, all code, designs, and deliverables created by Bitrupt for a client engagement become the exclusive property of the client upon full payment. Bitrupt retains the right to display completed work in its portfolio unless a separate NDA restricts this.

3. Payment

Payment terms are defined in the individual SOW or proposal. Late payments beyond 14 days may incur a 2% monthly interest charge. Bitrupt reserves the right to pause work on unpaid accounts.

4. Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. This obligation survives termination of the engagement for 3 years.

5. Limitation of Liability

Bitrupt's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

6. Termination

Either party may terminate an engagement with 14 days written notice. The client will be invoiced for all work completed up to the termination date. Bitrupt will deliver all completed work and handover documentation within 5 business days of termination.

7. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
